Dealer Terms and Conditions
These Dealer Terms and Conditions (“Terms”) govern the relationship between GOMUSEEQ.com (the “Company” or “MUSEEQ”) and each authorized dealer (“Dealer”). Under these Terms, the Dealer is granted a non-exclusive, non-transferable right to purchase, market, and resell MUSEEQ-brand audio products (the “Products”) to end customers. The Dealer acknowledges that MUSEEQ retains all ownership of its trademarks, trade names, and intellectual property. The Dealer shall act as an independent reseller and not as an agent or employee of the Company. The Dealer agrees to comply with all provisions of these Terms and with any written policies or guidelines the Company issues.
1. Appointment
The Company appoints the Dealer as an authorized reseller of MUSEEQ products worldwide. This appointment is non-exclusive and may be rescinded in accordance with Section 7 below. The Dealer agrees to promote and sell the Products actively and to maintain adequate facilities or online presence to offer MUSEEQ products in a professional manner. The Dealer shall not sell the Products outside its approved channels or to unauthorized third-party resellers without the Company’s prior written consent. All Products furnished under this Agreement remain the property of the Company until paid for in full.
2. Minimum Order Quantity
All orders placed by the Dealer shall be for a minimum quantity of 10 units of any individual Product. The Company may adjust the minimum order quantity from time to time with reasonable notice to Dealers. If the Dealer orders fewer than the minimum quantity without the Company’s consent, the Company reserves the right to cancel the order or reclassify it as a backorder.
3. Pricing and Resale Policy
The Dealer is authorized to resell MUSEEQ products, subject to strict adherence to the Company’s pricing policy. The Company establishes a Minimum Suggested Retail Price (MSRP)for each applicable Product. The Dealer shall not advertise, display, list, or sell any MUSEEQ product at a price below the MSRP without the Company’s prior written approval. All advertised prices, whether online or in print, must reflect at least the MSRP, and any discounts, rebates or special offers must not result in a final customer price below the MSRP. In particular, the Dealer shall not engage in any unfair pricing practices (such as unauthorized discounts, cashback offers, or bundling schemes) that undercut other authorized MUSEEQ dealers or harm the brand’s market value. Dealers must use a unified pricing structure consistent with this MSRP.

The MSRP is the manufacturer’s suggested price, but the Dealer must not sell or promote Products below this price.

The Dealer may sell at prices above the MSRP at its discretion.

Any violation of this pricing policy is a material breach of these Terms.
The Company reserves the right to implement and enforce this pricing policy on a “take it or leave it” basis. As U.S. guidance confirms, a manufacturer may refuse to deal with any retailer that does not follow its resale price policyftc.gov. Similarly, the FTC has noted that while dealers are free to set retail prices, the manufacturer can choose not to work with distributors that fail to adhere to its MSRPftc.gov. Accordingly, MUSEEQ may suspend or terminate a Dealer’s status for non-compliance with the MSRP or unified pricing requirements. The Dealer shall also comply with any additional Minimum Advertised Price (MAP) or pricing guidelines the Company issues in writing.
4. Warranty and Support
MUSEEQ provides each end customer with a two-year limited warranty against defects in materials and workmanship, effective from the date of purchase. The Dealer shall ensure that customers receive documentation of the warranty terms. The Dealer is expected to assist customers in any warranty claims by verifying purchase information and coordinating with MUSEEQ’s service centers or support team. The Dealer shall not alter, disclaim, or contradict the official warranty. When handling customer inquiries or issues, the Dealer must provide prompt and professional support. In particular, Dealers shall offer customer service in a timely, diligent, and professional manner to ensure customer satisfaction and maintain trust in the MUSEEQ brandseasonproducts.com. Any required repairs or replacements under the warranty are to be arranged in accordance with the Company’s instructions. Dealers must not impose additional terms or fees on warranty services beyond those authorized by MUSEEQ.
5. Brand Representation
The Dealer shall maintain the quality and reputation of the MUSEEQ brand in all sales and marketing activities. Dealers must use only Company-approved trademarks, logos, photographs, and marketing materials when promoting MUSEEQ products. All advertising, point-of-sale displays, packaging, and promotional content must present the Products accurately and professionally, reflecting MUSEEQ’s brand image and guidelines. Dealers shall not make false, misleading, or disparaging statements about MUSEEQ products, nor shall they imply endorsement of any third-party products. In particular, the Dealer shall avoid any “brand commingling” — for example, marketing MUSEEQ products alongside unrelated brands in a manner that could confuse consumers about the Products’ origin or endorsementseasonproducts.com. The Dealer shall not create any promotions or bundles that misrepresent MUSEEQ’s participation, nor display MUSEEQ products in a degraded or unclean manner. The Company reserves the right to review and require removal of any dealer advertising or display materials that do not comply with these brand standards.
6. Intellectual Property and Product Integrity
All intellectual property rights in the MUSEEQ products, including designs, hardware schematics, software, and packaging, are owned exclusively by the Company. The Dealer shall not attempt to reverse-engineer, decompile, copy, or otherwise reproduce any MUSEEQ product or technology. The Dealer shall not register or use any trademarks, trade names, or domain names that are confusingly similar to MUSEEQ’s marks. Dealers may only resell genuine MUSEEQ products purchased through approved channels. The sale of counterfeit, refurbished, or altered products as new MUSEEQ goods is strictly prohibited. Any violation of MUSEEQ’s intellectual property rights or unauthorized creation of products resembling MUSEEQ products will result in immediate termination and may subject the Dealer to legal liability.
7. Term and Termination
This Agreement is effective until terminated by either party. The Dealer’s appointment may be terminated by the Company at any time, with or without cause, by providing written notice. In addition, the Company may terminate this Agreement immediately upon notice if the Dealer:

Sells, advertises, or distributes MUSEEQ products below the MSRP or otherwise breaches the Pricing and Resale Policy of Section 3.

Attempts to copy, clone, reverse-engineer, or manufacture products that imitate MUSEEQ designs or trademarks.

Fails to provide adequate customer service, including refusal to honor warranty obligations or unreasonable delays in addressing customer issuesseasonproducts.com.

Materially breaches any other provision of these Terms (such as confidentiality, brand representation, or IP restrictions).
Upon termination, the Dealer must immediately cease using all MUSEEQ trademarks and promotional materials, and must discontinue the sale of MUSEEQ products. The Dealer shall return or destroy any Company-supplied confidential materials. Termination does not relieve the Dealer of obligations to pay for outstanding orders or to remedy breaches that occurred prior to termination. The Company may also withdraw any special pricing or support benefits upon termination.
8. General Provisions
Compliance with Laws: The Dealer shall comply with all applicable laws and regulations in marketing, selling, and distributing the Products. This includes, without limitation, export/import controls, electronic waste disposal laws, and consumer protection statutes in each country where the Dealer operates.
Independent Contractor: The Dealer is an independent contractor. Nothing in this Agreement creates a partnership, joint venture, or agency relationship between the Dealer and the Company. The Dealer has no authority to bind the Company or incur obligations on its behalf.
Confidentiality: The Dealer shall keep confidential any proprietary information provided by the Company (such as pricing, product roadmaps, and marketing strategies) and shall not disclose it to third parties without permission.
Assignment: The Dealer may not assign or transfer its rights or obligations under these Terms without the Company’s prior written consent.
Entire Agreement: These Terms (together with any written policies or addenda referenced herein) constitute the entire agreement between the parties regarding the dealership. Any amendments must be in writing and signed by both parties. If any provision of these Terms is found unenforceable, the remainder shall continue in full force.
Governing Law: These Terms are governed by the laws of the state or country where the Company is incorporated, without regard to its conflict of law rules. Any dispute relating to this Agreement shall be resolved in the courts of that jurisdiction.
By accepting delivery of MUSEEQ products or using the dealer portal, the Dealer acknowledges and agrees to be bound by these Terms.
